The Counsel / Senior Counsel position is responsible for advising Energy Solutions on a broad range of legal matters, under the direction of the General Counsel. These may include general corporate matters; monitoring and advising the company about legal and regulatory developments impacting the company; advising on intellectual property issues; advising on legal requirements applicable to new product offerings and new lines of business; drafting legal documents; reviewing agreements and advising on contractual relationships with customers, business partners, subcontractors, and vendors; providing oversight with respect to internal compliance functions; managing outside legal counsel; and other matters. As many of the company’s core clients are governmental entities or utilities, experience in and knowledge of administrative, energy, or utility law would be helpful. Since many of the company’s product offerings relate to renewable energy, energy conservation, and electrification programs, experience in these areas would also be a plus.  

The Counsel / Senior Counsel is expected to be a high-performing self-starter who has a keen eye for detail, fosters a collaborative environment and is motivated to establish and improve legal policies and procedures. This is an excellent opportunity for a mid-level attorney to be at the forefront of decarbonizing the energy sector with a growing and dynamic company. 

Responsibilities include but are not limited to: 

• Review and negotiate a broad range of legal agreements for Energy Solutions, including client contracts; agreements relating to a variety of energy efficiency, renewable energy, and decarbonization-related incentive programs; subcontractor and vendor agreements; federal contracts; and non-disclosure agreements. 

• Provide legal advice to the company regarding its legal obligations and risks, including with respect to contractual, statutory, and regulatory requirements.  

• Counsel the company on corporate governance, intellectual property, and privacy legal matters. 

• Ensure compliance with applicable laws, regulations, and company policies.   

• Review and advise on legal strategy in response to any threatened or actual litigation. 

• Draft bespoke agreements for new business opportunities. 

• Assist with the development and implementation of Company-wide contract requirements, policies, and procedures that align with the mission, values, and strategic direction of the company, while maintaining best practices and mitigating legal risk.  

• Other duties as assigned by the General Counsel.   

Minimum Qualifications: 

• Juris Doctor from an accredited U.S. law school is required. The attorney must be licensed to practice law in a U.S. state. 
• 4 years of experience as a practicing attorney, preferably with a focus on corporate law and transactional matters. 

• In-depth experience with drafting and negotiating complex agreements. 

• Attention to detail and excellent communication, negotiation, and organizational skills.  

• Strong legal writing, project management, and record-keeping skills.   

• Extensive experience using Microsoft Office.   

• Ability to work well with a cross-functional team and thrive independently.    

• Experience working in the energy sector is a plus (e.g., for an electric or gas utility, an energy consulting firm, or a governmental entity that has jurisdiction over utilities and/ or energy policy). 

• Experience with the Federal Acquisition Regulation (FAR) and federal contracts is a plus. 

 Compensation is commensurate with experience with the pay band of  $145,000 - $180,000.
